It is becoming harder for many schemes to find new trustees. The criminal and civil penalties incorporated in the Pension Schemes Act 2021 are making non-professional trustees more hesitant in continuing or taking on a trustee. In addition, many existing trustees are now looking for a planned retirement. These include Member Nominated Trustees who are often highly trusted people within the membership.
By building in a succession plan, it means, that when taking on a Sole Trustee appointment, we can work alongside the existing trustees as part of a planned handover. This enables a period to enable the transfer of historic scheme knowledge from the existing Trustee Board. What is a sole trustee?
Replacing the conventional trustee board structure, a sole trustee is a qualified person or organisation designated to take on complete management of a pension plan. This method maintains regulatory compliance while guaranteeing effective and knowledgeable decision-making.
Why would a pension scheme choose a sole trustee?

Is there the danger of an increased conflict of interest as it is the Company that appoints and remunerates the Sole Trustee?

What about the loss of knowledge from the existing Board?
As part of a transition to a Sole Trustee structure, there would ideally be a suitable handover period where we are a member of the Trustee Board to help us gain familiarity with the Scheme and the culture of the organisation. Sometimes where there is a need for an immediate appointment, we can set up set up a Consultation Committee (either formally or informally) during the first 6-12 months of the move to Sole Trustee. This can comprise of previous Trustees and/or a Company representative and enables the Sole Trustee to have a forum to call upon for additional input into areas such as member communications. There will always be the need for a detailed checklist upon any new Sole Trustee appointment to understand the current documentation, previous decisions and historic issues, as well as the current governance framework including reporting requirements to the Company.
